British Columbia has one of the most compelling tax incentive programs for private market investors in Canada. Through the BC Venture Capital Program, investors who purchase shares in a registered Eligible Business Corporation (EBC) can claim a 30% refundable tax credit on their investment — a significant benefit that effectively reduces the cost of entry into qualifying private company investments.
What Is the BC Venture Capital Program?
The BC Venture Capital Program is administered by the BC Ministry of Finance and is designed to encourage investment in small and medium-sized BC-based businesses. The program creates financial incentives for investors to commit capital to BC companies that meet specific criteria, supporting economic growth and job creation in the province.
The program operates through two mechanisms: the Eligible Business Corporation (EBC) designation and the Venture Capital Corporation (VCC) designation. This article focuses on the EBC stream, which allows investors to invest directly in qualifying companies and claim the tax credit personally.
What Is an Eligible Business Corporation?
An Eligible Business Corporation is a BC-based private company that has been approved by the provincial government to issue shares that qualify for the 30% tax credit. To receive EBC designation, a company must meet specific criteria, including:
- Being incorporated under the laws of British Columbia
- Having its head office and the majority of its employees in BC
- Being engaged primarily in an eligible business activity (broadly defined to include most active business operations, with some exclusions such as real estate development and financial services)
- Having assets below a specified threshold at the time of application
- Not being a subsidiary or affiliate of a public company
Once a company receives EBC designation, it can issue shares that qualify investors for the 30% tax credit.
How the 30% Tax Credit Works
When a BC resident purchases newly issued shares in a registered EBC, they can claim a tax credit equal to 30% of the amount invested, up to a maximum investment of $200,000 per year (resulting in a maximum credit of $60,000 per year). The credit is refundable, meaning that if it exceeds your tax payable for the year, the excess is refunded to you.
For example, if you invest $100,000 in an EBC, you receive a $30,000 tax credit. If your BC provincial tax payable for the year is $20,000, you would eliminate that tax liability entirely and receive a $10,000 refund — in addition to owning $100,000 worth of shares in the company.
This effectively reduces your net cost of investment to $70,000 (before any growth in the value of the shares).
Key Conditions and Requirements
To claim the credit, investors must:
- Be a BC resident at the time of investment and at the end of the tax year
- Purchase newly issued shares directly from the EBC (secondary purchases do not qualify)
- Hold the shares for a minimum of five years (shares sold or redeemed before the five-year holding period may result in a credit recapture)
- Receive a tax credit certificate from the EBC confirming the eligible investment
The shares must be common shares or shares that participate in the growth of the company. Preferred shares with fixed or preferential returns generally do not qualify.
Why This Matters for Private Investors
The 30% EBC tax credit is one of the most straightforward and meaningful incentives available to private market investors in Canada. It does not eliminate risk — private company investments can still decline in value or result in a total loss — but it meaningfully reduces the effective cost of entry by returning 30 cents of every qualifying dollar invested as a refundable provincial tax credit, regardless of how the company performs.
For investors who are already interested in private market investing and who pay BC provincial income tax, the EBC program is worth understanding in detail and factoring into investment decisions.
